Our Structure

Board of Directors

Our Board is responsible for governance oversight of the organisation and ensuring all services comply with the requirements of the Health Services Act 1988 and Moyne Health Services Strategic Plan whilst servicing the needs of our community.

A number of Board Committees are tasked with providing strategic guidance and assistance to the Board of Directors. Committee membership is determined by the Board and reviewed annually. Each of the committees is chaired by a Non-executive Director selected by the Board.

Finance Committee

This committee is responsible for assisting the Board in the effective discharge of its responsibilities for financial reporting, internal controls and compliance with statutory requirements. This committee meets quarterly and is chaired by Director, Michael Everett and supported by Board Directors Maria Safe and Sarah Gray.

Audit and Risk Committee

This committee is responsible for monitoring the adequacy and risk management, accounting procedures, financial reporting and compliance with statutory requirements. The committee meets quarterly and is currently chaired by Independent Chair Brian Densem, with the support of Board Directors Michael Everett, Sarah Gray and Mark Koch.

Quality and Safety Committee

This committee is responsible for ensuring the organisation provides effective clinical governance. This committee meets quarterly and is chaired by Director Maria Safe and supported by Board Directors Sarah Gray and Jane Dow.

Community Advisory Committee

This committee is responsible for informing the Board’s decision making on issues of strategic relevance to consumers. The committee may consider matters including, key capital projects impacting on levels of service, review of consumer information material (both written and verbal) and community consultation and engagement programs. The committee meets quarterly and is chaired by Director Jodie Cranham, supported by Directors Trevor Carr and Jane Dow.

Governance Committee

This committee’s responsible primary objectives are to assist the Board of Directors in corporate governance oversight of Moyne Health Services, the appointment, remuneration and performance management of the Chief Executive Officer, the appointment of Board Directors and Board performance, generally. The committee meets quarterly and is chaired by Director Michael Everett supported by Directors Jodie Cranham and Trevor Carr.

Infrastructure, Asset Management & Planning Committee

This committee’s primary role is to provide advice and recommendations in regards to the Moyne Health Services Master Plan, capital replacement and asset management.  The committee meets monthly and is chaired by Director Trevor Carr supported by Directors Jodie Cranham and Mark Koch.
